This course examines in detail the requisite elements of a valid contract, while analyzing the effects of contracts on third parties and the impact of outside forces on contracting parties.
Corporate Finance/Mergers and Acquisitions
The course explores legal and financial issues relating to the capital structure and financing of corporations, including various types of securities and the rights and legal relationships among the holders of such securities; and business and legal considerations with respect to dividends and distributions to shareholders. It also considers the planning, structure and implementation, and various corporate law issues, in connection with mergers and acquisitions, and the role of the business lawyer in corporate transactions.
Prerequisite: Corporations.
Corporations
The course includes an introduction to basic accounting principles, the study of agency law principles, and the law of privately held organizations (partnerships and LLC's) and corporations. Topics covered will include discussion of issues relating to the choice of business form, and issues concerning business formation, business management, financing, and dissolution.
Accounting and Business Fundamentals recommended, but not required.
