Mary G. Wilson

Mary G. Wilson is a partner in the health law division of Sonnenschein Nath & Rosenthal LLP. She also works with Heartland Alliance, a nonprofit that serves and advocates for marginalized populations, and shares her expertise in tax-exempt finance, healthcare, and tax-exempt organization issues on the speaker circuit. Mary is a graduate of Yale University and the University of Chicago.
In her tax-exempt finance practice, she counsels and represents borrowers (including health care organizations, cultural institutions, schools and universities), underwriters, banks (as liquidity and/or credit providers), issuers (including cities and counties in municipal financings) and serves as bond counsel in tax-exempt bond issues and other finance transactions. Over the years, Ms. Wilson has worked on billions of dollars of financings in many states, including put bond, line of credit-backed, auction rate, accounts receivable and fixed rate financings and swaps. She also works on a wide variety of secured and unsecured lending transactions. In her practice, she:
- Advises clients with respect to securities, regulatory and tax compliance in the tax-exempt finance area;
- Assists borrowers in structuring financings and negotiating and drafting documents to maximize flexibility and minimize risks and restrictive covenants; and
- Counsels clients before and after closing on compliance with bond documents, loan documents and applicable law.
In addition, Ms. Wilson advises and represents hospitals and health systems in corporate transactions, such as restructurings, mergers, acquisitions, divestitures, joint ventures and physician contracting and in finance strategy. She represents and counsels all types of tax-exempt organizations in transactions, governance matters, tax-exemption issues and organizational issues.
Ms. Wilson is a regular speaker on tax-exempt finance, health care and tax-exempt organization issues. She Chaired the 2002 NABL national "Fundamentals of Bond Law" seminar and is currently a member of the Steering Committee for NABL’s Bond Attorneys’ Workshop.
